Terms of Service
These Terms of Service govern the use of The Digital Takeover® website, the AI-Human Agency Growth Framework™, and any associated systems, discovery processes, and licensed environments provided by The Digital Takeover®.
1. Acceptance of Terms
By accessing this website, submitting discovery forms, or entering into a licensing arrangement for the AI-Human Agency Growth Framework™, you agree to comply with these Terms of Service.
If you do not agree with these terms, you should not use this website or participate in the framework licensing process.
2. Overview of Services
The Digital Takeover® provides access to the AI-Human Agency Growth Framework™, a licensed operating system designed to support structured growth for marketing professionals and agencies.
The framework includes structured execution environments, growth engines, behavioural tracking systems, dashboards, task workflows, and associated support tools.
3. Licensing Model
Access to the AI-Human Agency Growth Framework™ is provided through a licensing model. Licenses are granted only after successful completion of the AI Agency Readiness Discovery™ and acceptance by The Digital Takeover®.
Each licence grants access to a branded framework environment for the licensed marketing professional or agency.
4. Fees and Licensing Structure
The AI-Human Agency Growth Framework™ is provided through a structured licensing model with separate setup and monthly licensing fees.
Licensing options are available for Solo operators, Teams, and Part-Time operators.
Solo Licence- £5,995 setup fee (due prior to system access)
- £995 per month licensing fee
- Applies to 1–2 users
The Solo Licence includes access for up to two users operating within one licensed framework environment.
Team Licence- £7,995 setup fee (due prior to system access)
- £1,995 per month licensing fee
- Applies to 2+ users
The Team Licence is designed for agencies operating with multiple users inside the licensed environment.
Part-Time Licence- £1,995 setup fee (due prior to system access)
- £295 per month licensing fee
The Part-Time Licence operates under a reduced daily execution model while maintaining the same structured framework environment.
The setup fee is non-refundable under all circumstances and covers system installation, environment setup, branding, activation, and framework preparation.
5. Performance Offer
For Solo and Team Licences only, if you do not receive at least 5 qualified prospects within your first 45 days, your first monthly fee will be refunded in full.
This performance offer applies only to Solo and Team Licences and does not apply to the Part-Time Licence.
For the purpose of this offer, a qualified prospect is defined as a prospect that enters the licensed Client Growth Engine™ through the system structure defined by The Digital Takeover®.
The setup fee remains non-refundable and is not included within the performance refund offer.
6. Payment Terms
All setup fees are due in full before framework access is provided.
Monthly licensing fees are billed in advance and must be maintained in good standing for continued access to the framework environment.
Monthly licensing fees are non-refundable once the billing period has begun, except where a refund is due under the Performance Offer described in Section 5.
7. Cancellation
Licence holders may cancel their licence by providing a minimum of 14 days written notice.
Access to the licensed platform will remain active during the 14-day notice period unless otherwise agreed in writing.
At the end of the 14-day notice period, all platform access, licensed environments, and associated data will be permanently deleted and removed.
8. Operator Responsibilities
Licensed operators are responsible for executing the tasks, processes, and structures defined within the framework environment.
The Digital Takeover® provides the system structure, tools, and guidance necessary to operate the framework, but operators remain responsible for using the system properly and consistently.
9. Training & Activation
Access to the AI-Human Agency Growth Framework™ is granted only after completion of a Framework Installation & Training Session.
This session acts as the activation point for the licensed system. Platform access, login credentials, and operational use of the framework are only issued after this session has been completed.
Training sessions may include multiple attendees from the same organisation and, in some cases, a limited number of other licensed agencies progressing through activation at a similar stage.
Licensees are responsible for attending their scheduled session. Failure to attend may delay activation and access to the framework.
10. Account Access and Sharing
Framework access is licensed to the approved operator or organisation only. Access credentials may not be shared, transferred, sublicensed, or distributed without written permission from The Digital Takeover®.
11. Suspension or Termination
The Digital Takeover® reserves the right to suspend or terminate framework access where misuse, non-payment, or breach of these Terms of Service occurs.
12. Intellectual Property
All framework structures, systems, engines, diagrams, content, software elements, branding, and methodology are the intellectual property of The Digital Takeover®.
No part of the framework may be copied, reproduced, reverse engineered, redistributed, or used to create competing systems without written permission.
13. Platform Availability
While reasonable efforts are made to maintain platform availability, access may occasionally be interrupted due to maintenance, technical updates, infrastructure issues, or other operational requirements.
14. Limitation of Liability
The Digital Takeover® provides a structured system designed to support growth execution. However, business results depend on external factors including market conditions, operator effort, and client behaviour.
The Digital Takeover® shall not be liable for financial losses, missed opportunities, or indirect damages resulting from the use of the framework.
15. Website Use
Visitors must not misuse the website, attempt to gain unauthorised access to systems, or interfere with the technical operation of the platform.
16. Changes to Terms
The Digital Takeover® reserves the right to update these Terms of Service periodically to reflect operational or legal changes.
17. Governing Law
These Terms of Service are governed by the laws of England and Wales.
